Manner of representation

Each member of the management board is authorised to independently dispose of rights and incur liabilities for performances with a value not exceeding PLN 300,000.00 (three hundred thousand złoty) (in the case of a multi-member management board); in all other matters, joint action of two members of the management board or of one member of the management board together with an attorney-in-fact is required to submit declarations of will on behalf of the company; however, in the case of a one-person management board, the President of the Management Board independently represents the company without the above limitations.
