Manner of representation
If a multi-member management board is appointed, two members of the management board acting jointly or one member of the management board jointly with a commercial proxy are authorized to make declarations of will and sign on behalf of the company. If a one-person management board is appointed, the sole member of the management board represents the company independently. Attorneys-in-fact may be appointed to perform specific acts or types of acts, acting independently, in twos or more, within the scope of the power of attorney.
