Manner of representation

Each partner is entitled to independently represent the company in all judicial and out-of-court matters not exceeding the scope of ordinary management. In matters exceeding the scope of ordinary activities, a resolution of the partners is required. Matters exceeding the scope of the ordinary activities of the company are: a. disposal of or lease of the company; b. merger of the company with another entity or transformation of the company to the extent permitted by law; c. performing an act resulting in the acquisition or disposal of a right or the incurring of an obligation in an amount exceeding PLN 2,000.00.
