Manner of representation

1. The following are authorised to make declarations of will on behalf of the company: A. for transactions the amount of which does not exceed PLN 5,000.00 or its equivalent in other currencies – two members of the management board acting jointly; B. for transactions the amount of which exceeds PLN 5,000.00 or its equivalent in other currencies – three members of the management board acting jointly. 2. The equivalent in other currencies referred to in the preceding paragraph shall be calculated according to the average exchange rate announced by the National Bank of Poland applicable on the day preceding the performance of the transaction. 3. In the case of obligations providing for periodic performances, the amounts referred to in point 1 above shall be determined as follows: A. for obligations entered into for a fixed period of up to 12 months – the value of the performances, or the anticipated value of the performances, for the entire duration of the obligation shall be aggregated; B. for obligations entered into for a fixed period exceeding 12 months or for an indefinite period – the value of the performances, or the anticipated value of the performances, for a period of 12 months shall be aggregated.
