Manner of representation

The right to conduct the affairs of the partnership and to represent it vis-à-vis third parties is vested in the general partners. The general partners may make declarations of will, sign documents and conclude agreements on behalf of the partnership, acting jointly, if more than one general partner participates in the partnership. If one general partner participates in the partnership, that general partner is entitled to conduct the affairs of the partnership and to represent it in all matters vis-à-vis third parties. In matters exceeding the scope of ordinary activities, the consent of the limited partners is not required. The general partner is JP spółka z ograniczoną odpowiedzialnością, with its registered office in Chełm, represented by the management board; if a multi-member management board is appointed, each member of the management board and the commercial proxy is authorised to make declarations and sign on behalf of the company independently. The persons authorised to represent the general partner are President of the Management Board Ireneusz Szostak and Vice-President of the Management Board Jerzy Dziewa.
