Manner of representation

1. In matters not exceeding the scope of ordinary activities, each partner has the right and obligation to conduct the affairs of the company independently. 2. In matters exceeding the scope of ordinary activities, a unanimous resolution of the partners is required. 3. Acts exceeding the scope of ordinary activities include, in particular: a) the performance by the company of a legal act of an obligating or disposing nature, under which the value of the company’s performance exceeds PLN 50,000 (in words: fifty thousand złoty); b) the disposal of and lease of the company’s enterprise or its organised part, and the establishment of a limited right in rem over them; c) entering into employment contracts; d) entering into any contracts for a fixed term longer than 1 year, irrespective of the value and subject matter of the company’s performance; e) entering into any contracts for an indefinite term, the notice period of which is longer than 6 months; f) appointing an attorney-in-fact of the company.
