Manner of representation

1. In the case of a multi-member management board, the following persons are authorised to represent the company in matters concerning its property and non-property rights and obligations: - for obligations or disposal of a property right up to PLN 250,000.00 (two hundred and fifty thousand zloty), each member of the management board independently; - for obligations or disposal of a property right exceeding PLN 250,000.00 (two hundred and fifty thousand zloty), two members of the management board or one member of the management board jointly with a commercial proxy; - each member of the management board is authorised to make declarations of will in non-property matters independently. 2. In the case of a one-person management board, the company is represented by the President of the Management Board. 3. The company acts through attorneys-in-fact appointed within the limits of their powers. The company’s commercial proxies and attorneys-in-fact are appointed and dismissed by the company’s management board. 4. In matters concerning employment law, declarations of will are made by the President of the Management Board independently. The company’s employees are subordinate to the President of the Management Board, who concludes and terminates employment contracts with them, simultaneously determining their working and remuneration conditions.
