Manner of representation

1. The general partner is authorised and obliged to conduct the affairs of the company and represent it externally. 2. Each general partner is authorised to represent the company independently in judicial and extrajudicial matters. 3. A limited partner may represent the company only on the basis of an appropriate power of attorney. 4. In matters exceeding the scope of the company’s ordinary activities, a unanimous resolution adopted by all general partners is required; however, the consent of a limited partner is not required for the effectiveness of activities exceeding the scope of the company’s ordinary activities. 5. Matters exceeding the scope of the company’s ordinary activities include: 1) disposal of or leasing of the company’s enterprise, 2) disposal of or acquisition of real estate and the right of perpetual usufruct, 3) merger of the company with another entity or transformation of the company, to the extent permitted by law, 4) undertaking activities resulting in the acquisition or disposal of a right or incurring an obligation in an amount exceeding PLN 500,000.00 (in words: five hundred thousand zlotys).
