Manner of representation

1. The following are authorised to represent the association externally and to make declarations of will in matters unrelated to the association’s property: 1.1. the President – independently; 1.2. two members of the Presidium acting jointly; 1.3. three members of the management board acting jointly. 2. The following are authorised to make declarations of will in property-related matters, including financial liabilities, contracts, agreements, expenses and management of the association’s financial resources: 2.1. up to an amount equal to 15 times the minimum remuneration for the preceding calendar year, rounded to a full thousand złoty: 2.1.1. the President or the treasurer – independently; 2.1.2. two members of the management board acting jointly; 2.2. up to an amount exceeding 15 times the minimum remuneration for the preceding calendar year, rounded to a full thousand złoty: 2.2.1. the President and the treasurer – acting jointly; 2.2.2. two members of the management board and the treasurer; 2.2.3. one member of the Presidium and two members of the management board; 2.2.4. each liability exceeding 200 times the minimum remuneration additionally requires the countersignature of the treasurer, irrespective of the signature configuration specified in points 2.2.1 to 2.2.3. 3. By resolution, the management board may grant special or permanent powers of attorney to office employees, members of the association or third parties, within the scope consistent with the provisions of law and these Articles of Association. 4. The President represents the association in relations with external institutions, scientific partners, public administration authorities and the media, unless the President delegates this task to another member of the management board. 5. In the case of contracts or liabilities exceeding the threshold referred to in section 2.1 (15 times the minimum remuneration), entering into such a contract requires prior express approval by the management board by a simple majority of votes, unless approval is required under section 2.2.4. 6. Contracts of a lower value may be signed in accordance with the rules of representation specified in section 2.1.
