Manner of representation

1. Each partner has the capacity to represent the company in matters not exceeding the scope of ordinary activities. 2. In matters exceeding the scope of ordinary activities of the company, the consent of all partners expressed in a resolution is required. 3. Activities that result in the creation of an obligation or the transfer of a right with a value exceeding PLN 50,000.00 (in words: fifty thousand zlotys) are deemed activities exceeding the scope of ordinary activities of the company. 4. Each partner may, without a resolution of the partners, perform an urgent activity whose omission could cause serious damage to the company. 5. An urgent activity is deemed to be an activity whose failure to undertake would cause damage exceeding PLN 50,000.00 (in words: fifty thousand zlotys).
