Manner of representation

Jacek Magnucki and Marcin Szlezinger are authorized to conduct the affairs of the company and represent it externally. Matters not exceeding the scope of ordinary management may be conducted by each partner independently, provided that two of the partners, or one of them jointly with a commercial proxy, are authorized to make declarations of will and signatures on behalf of the company, without prejudice to the possibility of appointing a sole commercial proxy. Each partner is authorized to receive declarations made by third parties. In matters exceeding the scope of ordinary management, a unanimous resolution of the partners entitled to conduct the affairs of the company is required, whereby the partners may, by resolution, authorize one of them to conduct independently a specific matter or matters exceeding the scope of ordinary management.
