Manner of representation

The general partner entitled to represent the company acts through its own competent bodies. The authority to represent includes all judicial and extrajudicial acts, subject to §10 of the company agreement. The general partner has the right and obligation to conduct the affairs of the company through its body, i.e. the management board, or other persons duly authorised to represent it. The general partner (BIMAT sp. z o.o.) is represented: 1. if the management board is a one-person management board – by the President of the Management Board; 2. if the management board is a multi-member management board – by each member of the management board individually, or by the President of the Management Board together with a commercial proxy, or by one member of the management board together with a commercial proxy; 3. if the management board consists of three or more persons – jointly by: the President of the Management Board and one member of the management board, or two members of the management board, or the President of the Management Board together with a commercial proxy, or a member of the management board together with a commercial proxy.
