Manner of representation

Each partner has the right and obligation to conduct the affairs of the company and may, without a prior resolution of the partners, conduct affairs that do not exceed the scope of the ordinary activities of the company. The right of each partner to conduct the affairs of the company and represent it covers all judicial and extrajudicial acts, subject to acts exceeding the scope of the ordinary affairs of the company, for which a resolution adopted with the consent of all partners of the company is required: accession of partners to the company, granting commercial proxy authority, disposing of a right or incurring a liability on behalf of the company with a value exceeding PLN 10,000.00, taking out a bank loan or a loan from another financial institution regardless of its value, entering into agreements for an indefinite period regardless of their value, where the notice period exceeds one month, disposing of or leasing the company's enterprise or its organised part and establishing a limited right in rem thereon, and acquiring, disposing of or encumbering real estate or a share in real estate regardless of its value.
