Manner of representation
In the case of a one-person management board, declarations on behalf of the company shall be made by the member of the management board. In the case of a management board consisting of two or more members, each member of the management board is authorised to make declarations on behalf of the company independently, subject to the proviso that, in the case of incurring liabilities on behalf of the company whose value exceeds EUR 10,000.00 (ten thousand), joint action by two members of the management board, or one member of the management board jointly with a commercial proxy, is required. In the case of periodic benefits, when determining their value, their entire duration shall be taken into account, and where the period is longer than one year, their value for a period of 12 (twelve) months.
