Manner of representation

In the event of establishing a multi-member management board, the company is represented by two members of the management board jointly or by a member of the management board together with a commercial proxy, provided that the following matters require representation by two members of the management board acting jointly: a/acquisition and disposal of real estate and other fixed assets with a value exceeding PLN 20,000.00 net; b/conclusion of credit agreements; c/provision of guarantees, including the conclusion of agreements for the provision of bank guarantees; d/conclusion of lease or tenancy agreements for a period longer than one year; e/conclusion of employment agreements and other employment contracts with relatives of the company's employees; f/acquisition and sale of subsidiaries; g/establishment and liquidation of branches and places of business activity; h/taking out short-, medium- and long-term loans and concluding all agreements for this purpose, excluding internal financial operations of the group, including cash pooling; i/conclusion of agreements with statutory auditors, tax advisers, accounting auditors and audit firms of international renown.
