Manner of representation

The company shall assume obligations on the basis of the independent signature of a member of the management board of category A, or on the basis of the joint signature of a member of the management board of category B and a member of the management board of any category, or on the basis of the joint or independent signature of any person or persons to whom the management board has delegated such authorization to sign. If one or more employees are entrusted with managing and conducting the day-to-day affairs of the company, the company shall assume obligations, within the scope of day-to-day management, exclusively on the basis of the signature of such person or persons. The person or persons responsible for managing and conducting the day-to-day business of the company may delegate their powers for the ad hoc performance of specified tasks to one or more agents and determine the scope of the agents’ responsibility, the authorization to provide joint or independent signatures, as well as the remuneration, if applicable, the duration of the representation period and any other material conditions of the agency’s operation.
