Manner of representation

1. Each founding partner is authorised to represent the company and conduct its affairs. 2. If another partner objects in advance to the performance of a specific legal act, or if it exceeds the scope of the company's ordinary activities, a resolution of the partners adopted by an absolute majority of all votes and with the participation in voting of at least both founding partners is required, under penalty of the resolution not existing, unless mandatory provisions of law or this agreement impose higher requirements. The application of Article 39 § 2 and 3, Articles 42 and 43 of the Commercial Companies Code is excluded. 3. Matters exceeding the scope of the company's ordinary activities include: a. incurring obligations and disposing of rights exceeding PLN 10,000 – in the case of agreements concluded for a definite period, this limitation applies to the sum of all performances during that period, and in the case of agreements concluded for an indefinite period – to the sum of all performances for a period of one year; b. employing the company's employees under an employment contract or another long-term legal relationship (longer than 3 months); c. commissioning accounting and tax services to an external entity; d. concluding, amending and terminating lease agreements; e. establishing long-term cooperation (longer than 3 months) with other attorneys or legal advisers; f. granting commercial procuration.
