Manner of representation

Pursuant to the articles of association dated 22 February 2022, the following person(s) are authorised to represent the company: 1. In the case of a one-person management board – the President of the Management Board/member of the management board acting independently; 2. In the case of a two-person or three-person management board: 1) each member of the management board acting independently – in the case of acts resulting in the disposal of a right or the incurring of an obligation with a one-off value equal to or lower than PLN 50,000.00; 2) two members of the management board acting jointly, or, if a commercial proxy has been appointed, a member of the management board acting jointly with the commercial proxy – in the case of acts resulting in the disposal of a right or the incurring of an obligation with a one-off value higher than PLN 50,000.00; 3) the consent of the supervisory board is required for the management board to perform acts resulting in the disposal of a right or the incurring of an obligation with a one-off value higher than PLN 500,000.00.
