Manner of representation

1. The company is represented: A. in matters not exceeding the scope of the company's ordinary activities–by each partner acting independently; B. in matters exceeding the scope of the company's ordinary activities–by 2 (two) partners acting jointly; C. the company is represented by 3 (three) partners acting jointly in matters concerning: - contracts for legal services relating to procurement procedures where the estimated value of the procurement or the amount stated by the contracting authority which it intends to allocate for performance of the procurement, exclusive of tax on goods and services, exceeds PLN 20,000,000.00 (in words: twenty million złoty); - opening a bank account for the company; - incurring a credit or loan in the company's name in any amount; - incurring liabilities and disposing of rights exceeding the equivalent of PLN 20,000.00 (in words: twenty thousand złoty)–in the case of contracts concluded for a definite period, this limitation concerns the sum of all performances during that period, and in the case of contracts concluded for an indefinite period, the sum of all performances during one year; - establishing any security interests over the company's assets, including over the enterprise or its organized part; - granting a commercial proxy, a general, specific or special power of attorney, or a power of attorney to perform any of the acts listed in points one to five above. 2. Matters exceeding the scope of the company's ordinary activities include: A. employing the company's employees under an employment contract or another long-term legal relationship (longer than 3 months), as well as terminating such contracts; B. commissioning accounting and tax services to an external entity; C. entering into, amending and terminating lease agreements; D. establishing or terminating long-term cooperation (longer than 3 months) with other advocates, attorneys-at-law or other persons.
