Manner of representation

Authorized to submit declarations of will on behalf of the foundation is the management board, acting: independently in the case of incurring liabilities or making an expenditure in an amount not exceeding PLN 50,000.00 at one time, exclusive of VAT, and, in the case of continuing services, calculated for a one-year period; in the case of incurring liabilities or making an expenditure in an amount exceeding PLN 50,000.00 at one time, exclusive of VAT, and, in the case of continuing services, calculated for a one-year period, the declaration of will is submitted jointly by two members of the management board. In all property matters concerning copyrights owned or acquired by the foundation in the course of its activities, as well as licences granted to it for the use of such rights, in particular with regard to actions leading to the disposal of or encumbrance of all or part of such rights, the granting of a licence, sublicence or other authorisation to use those rights, or the incurring of a liability concerning those rights, the declaration of will is submitted jointly by two members of the management board with the consent of the founder. If the founder is the other party to such action, the rules of representation set out in § 17 section 4 shall apply. In matters other than property matters, the foundation is represented independently by one member of the management board.
