Manner of representation

1. Each member of the management board independently is authorised to submit, on behalf of the foundation, declarations of will resulting in the disposal of a right or the incurring of an obligation whose value does not exceed PLN 15,000.00 on a one-off basis or does not exceed PLN 30,000.00 annually in the case of multiple obligations incurred towards one entity. 2. Each member of the management board independently is authorised to submit, on behalf of the foundation, declarations of will resulting in the disposal of a right or the incurring of an obligation whose value exceeds PLN 15,000.00 on a one-off basis or exceeds PLN 30,000.00 annually towards one entity, after obtaining the prior consent of the Foundation Council expressed in the form of a resolution. The above obligation to obtain the prior consent of the Foundation Council does not apply to incurring obligations provided for in the foundation's budget approved by the Council pursuant to § 10 section 2 point 2 of the Articles of Association. 3. In court proceedings, the foundation is effectively represented by each member of the management board acting independently.
