Manner of representation

The company is managed exclusively by the management board, which carries out the transactions necessary to achieve the company's business objective. The management board may also appoint one or more of its members to serve as managing director [in English: Chief Executive Officer - CEO] (managing directors), specifying their duties and remuneration, and to act as special attorneys-in-fact. The legal representation of the company and the authorisation to sign on behalf of the company concern the President of the Management Board and the managing director (CEO) separately, within the scope of the powers delegated to them. The above-mentioned legal representatives may grant powers of attorney concerning individual acts or categories of acts, including court proceedings, also with the power to sub-delegate.
