Manner of representation

Each partner may represent the company independently, subject to the following reservations. Making declarations of will leading to the disposal of a right or the incurring, on behalf of the company, of an obligation to render a performance in an amount exceeding the value of PLN 50,000.00 (fifty thousand zlotys) or its equivalent in a foreign currency, converted at the average exchange rate of the National Bank of Poland from the last day for which an exchange rate was recorded preceding the transactions, requires the joint action of two partners or of a partner together with a commercial proxy, if a commercial proxy has been appointed. Declarations of knowledge may be made and tax declarations or similar declarations connected with obligations under public law may be signed on behalf of the company independently by each of the partners.
