Manner of representation

The one-person management board has the right to represent the company. If a management board is appointed, the company may be represented by the President of the Management Board and by individual members of the management board, provided that they have been granted power of attorney. If several members of the management board have been granted power of attorney, the company may be represented by them jointly or separately, on the same principles on which they were granted management powers upon appointment. The company may also be represented by directors, commercial proxies and attorneys-in-fact, within the scope of the powers granted to them in the instrument of appointment. In liquidation, the company may be represented by liquidators or by the Chairperson of the Council of Liquidators and any other members of the Council of Liquidators, in accordance with and within the limits specified upon appointment.
