Manner of representation

In the case of a multi-member management board, each member of the management board may independently represent the company in transactions concerning matters that do not concern liabilities or dispositions, and matters concerning liabilities or dispositions with a value not exceeding PLN 30,000.00. For legal transactions concerning liabilities or dispositions with a value exceeding PLN 30,000.00, joint action by at least two members of the management board is required. In matters concerning the disposition of a right or the incurring of a liability of a continuous, periodic or recurring nature, the value of the liability is the sum of the performances for one year or, in the case of agreements concluded for a fixed term, for the entire duration thereof.
