In the case of a multi-member management board, each member of the management board is authorised independently to dispose of assets or assume liabilities on behalf of the company up to PLN 30,000.00, whereas the disposal of assets or assumption of liabilities in an amount exceeding PLN 30,000.00 requires the action of two members of the management board jointly or of a member of the management board jointly with a commercial proxy. In other matters, in the case of a multi-member management board, the joint action of two members of the management board or of one member of the management board and a commercial proxy is required to make declarations on behalf of the company.
