Manner of representation

1. Each member of the management board is authorised to make declarations of will on behalf of the company independently in matters not exceeding the scope of the company’s ordinary activities, whereby a matter not exceeding the scope of the company’s ordinary activities means giving consent to perform a legal transaction resulting in the assumption of an obligation or disposition of a right with a value not exceeding PLN 1,000,000.00 (in words: one million Polish zlotys). 2. To make declarations of will concerning property and non-property rights and obligations and to sign documents on behalf of the company resulting in the disposition of a right whose value does not exceed PLN 1,000,000.00 (in words: one million Polish zlotys), inclusive, or the creation of an obligation to provide a performance with a value up to PLN 1,000,000.00 (in words: one million Polish zlotys), inclusive, each member of the management board is authorised to act independently. 3. To make declarations of will concerning property and non-property rights and obligations and to sign documents on behalf of the company resulting in the disposition of a right whose value exceeds PLN 1,000,000.00 (in words: one million Polish zlotys), or the creation of an obligation to provide a performance with a value above PLN 1,000,000.00 (in words: one million Polish zlotys), joint action of two members of the management board or of a member of the management board jointly with a commercial proxy is required.
