Manner of representation

If the management board is a one-person management board, the sole member of the management board acting independently is authorised to represent the foundation, including making declarations of will and signing documents on behalf of the foundation. Each member of the management board is authorised to make declarations of will on behalf of the foundation independently if members have been appointed. If liabilities are incurred or a right is disposed of for a value exceeding, in a single transaction or cumulatively during a period of 1 (one) year, in favour of one entity or affiliated entities, PLN 100,000.00 (one hundred thousand zlotys), a resolution of the foundation's management board is required for the validity of the transaction.
