Manner of representation

1. The management board manages the activities of the foundation and represents it externally. 2. The tasks of the management board include, in particular: a) adopting annual action plans of the foundation and financial plans, b) adopting regulations, c) managing the foundation’s assets, d) determining the level of employment and the amount of funds for remuneration of the foundation’s employees, e) making decisions in all matters not assigned to the competence of other bodies, f) accepting donations, inheritances and legacies, subsidies and grants, g) submitting applications concerning amendments to the foundation’s statutes, merger with another foundation and liquidation of the foundation. 3. The management board makes decisions at meetings in the form of resolutions by a simple majority of the votes of its members present at the management board meeting. In the event of an equal number of votes, the casting vote belongs to the President of the Management Board. 4. All members of the management board must be notified of the meeting. 5. The management board may appoint attorneys-in-fact to manage a separate sphere of matters belonging to the tasks of the foundation.
