Manner of representation

1. Each member of the management board is authorised to make declarations of will on behalf of the company independently in matters not exceeding the ordinary activities of the company, whereby a matter not exceeding the scope of the ordinary activities of the company means giving consent to perform a legal act resulting in incurring an obligation or disposing of a right with a value not exceeding PLN 50,000.00 (in words: fifty thousand zlotys 00/100). 2. Each member of the management board is authorised independently to make declarations of will concerning the company's proprietary and non-proprietary rights and obligations and to sign documents on behalf of the company resulting in the disposal of a right with a value not exceeding PLN 50,000.00 (in words: fifty thousand zlotys) inclusive, or the creation of an obligation to render a performance with a value of up to PLN 50,000.00 (in words: fifty thousand zlotys) inclusive. Such declarations and signatures resulting in the disposal of a right with a value exceeding PLN 50,000.00 (in words: fifty thousand zlotys), or the creation of an obligation to render a performance with a value exceeding PLN 50,000.00 (in words: fifty thousand zlotys), require the joint action of two members of the management board or one member of the management board jointly with a commercial proxy.
