In the case of a one-person management board, the President of the Management Board acting independently is authorized to make declarations of will on behalf of the company. In the case of a multi-member management board, in matters up to and including PLN 500,000, the President of the Management Board acting independently is authorized, whereas in matters exceeding PLN 500,000, all members of the management board acting jointly are authorized to act. In non-property matters, in the case of a multi-member management board, joint action by two members of the management board acting jointly or by one member of the management board acting jointly with a commercial proxy is required.
