Manner of representation

1. Each member of the management board is authorised to make declarations of will on behalf of the company independently in matters not exceeding the ordinary activities of the company, whereby a matter not exceeding the scope of the ordinary activities of the company means giving consent to perform a legal act resulting in incurring an obligation or disposing of a right with a value not exceeding PLN 100,000.00 (in words: one hundred thousand zlotys). 2. Each member of the management board is authorised independently to make declarations of will concerning the company's proprietary and non-proprietary rights and obligations and to sign documents on behalf of the company resulting in the disposal of a right with a value not exceeding PLN 100,000.00 (in words: one hundred thousand zlotys) inclusive, or the creation of an obligation to render a performance with a value of up to PLN 100,000.00 (in words: one hundred thousand zlotys) inclusive. Making such declarations and signing such documents resulting in the disposal of a right with a value exceeding PLN 100,000.00 (in words: one hundred thousand zlotys), or the creation of an obligation to render a performance with a value exceeding PLN 100,000.00 (in words: one hundred thousand zlotys), requires the joint action of all members of the management board.
