Manner of representation

The foundation may be represented by the foundation’s management board. In the case of a one-person management board of the foundation, declarations of will on behalf of the foundation are made by that member of the foundation’s management board. In the case of a multi-member management board of the foundation, each member of the foundation’s management board has the right to represent the foundation independently in matters of ordinary management. In matters exceeding ordinary management, the foundation is represented by two members of the foundation’s management board acting jointly. The disposal of a right or the assumption of an obligation to render a performance (in the case of periodic performances, their value includes obligations on an annual basis), with a value exceeding PLN 10,000 (in words: ten thousand złoty), constitutes a matter exceeding ordinary management.
