Manner of representation

1. The right to conduct the affairs of the company and the right to represent the company are vested in the partners Piotr Andrzejewski and Leszek Gwiazda. The remaining partners, Karol Andrzejewski and Bartłomiej Gwiazda, are excluded from conducting the affairs of the company and from the right to represent it. 2. The partners Piotr Andrzejewski and Leszek Gwiazda may independently conduct affairs not exceeding the scope of the ordinary activities of the company and independently represent the company in matters not exceeding the scope of the ordinary activities. 3. In matters exceeding the scope of the ordinary activities of the company, joint representation by the partners entitled to conduct the affairs of the company is required. 4. Matters exceeding the scope of the ordinary activities of the company are: a) acts concerning commercial goods or production materials, resulting in the acquisition or disposal of a right or the incurring of an obligation with a value exceeding PLN 50,000.00; b) in the case of other acts–acts resulting in the acquisition or disposal of a right or the incurring of an obligation with a value exceeding PLN 10,000.00.
