Manner of representation
In the case of a one-person management board, a member or the President of the Management Board of the company shall be authorised to submit declarations of will on behalf of the company independently. In the case of a multi-member management board, each member of the management board shall be authorised independently to dispose of assets or incur liabilities on behalf of the company in an amount exceeding, in a single instance, and, in the case of periodic or time-extended benefits, over a period of one year, PLN 10,000 (in words: ten thousand zlotys); above this amount, two members of the management board acting jointly or a member of the management board jointly with a commercial proxy shall be authorised.
