Manner of representation

In the case of a one-person management board, the company is represented by the President of the Management Board independently, without any restrictions. In the case of a multi-member management board, the company is represented by the President of the Management Board independently, without any restrictions, or by each member of the management board independently in matters not exceeding the scope of the company’s ordinary activities; in particular, each member of the management board may independently incur obligations and dispose of rights in an amount not exceeding PLN 50,000 (fifty thousand) in a single transaction, whereas in matters exceeding the scope of the company’s ordinary activities, in particular in matters involving incurring obligations and disposing of rights in an amount exceeding PLN 50,000 (fifty thousand) in a single transaction, the joint action of two members of the management board or of one member of the management board jointly with a commercial proxy is required.
