Manner of representation

If only one managing director has been appointed, that managing director represents the company independently. If several managing directors have been appointed, joint action by two of them or by one managing director together with a commercial proxy is required to represent the company. The right to independent representation may be granted. The managing directors may be generally exempted from the restrictions of section 181 of the German Civil Code (BGB).
