Manner of representation

1. To represent the foundation in matters in which the amount of the foundation’s liability does not exceed PLN 30,000 (thirty thousand zloty) gross, each member of the management board is authorised to act independently. 2. If a legal transaction gives rise or may give rise to a liability of the foundation exceeding PLN 30,000 (thirty thousand zloty) gross, representation of the foundation requires the joint action of two members of the management board, one of whom is the President of the Management Board. 3. For submitting declarations of will concerning: a) ordinary management activities that do not result in incurring financial liabilities, b) declaratory activities, such as issuing certificates, confirming the granting and acceptance of patronage and cooperation established with third parties, c) concluding contracts of mandate, volunteer contracts and graduate internship contracts, d) representing the foundation before public administration authorities, courts and banks, each member of the management board is authorised to act independently. 4. For submitting declarations of will concerning activities covering matters not listed in points 1–3 above, the joint action of two members of the management board, one of whom is the President of the Management Board, is required.
