Manner of representation

In the case of a one-person management board, the sole member of the management board is entitled to independently represent the company. In the case of a multi-member management board, the following persons are entitled to make declarations on behalf of the company, incur obligations and dispose of rights: 1. in matters where the value of the disposal or obligation does not exceed PLN 300,000.00 (three hundred thousand zlotys) – each member of the management board independently; 2. in matters where the value of the disposal or obligation exceeds PLN 300,000.00 (three hundred thousand zlotys) – two members of the management board acting jointly or one member of the management board acting jointly with a commercial proxy. In non-pecuniary matters, in the case of a multi-member management board, the joint action of two members of the management board or one member of the management board jointly with a commercial proxy is required.
