Manner of representation

The company may be represented by: 1. in the case of a one-person management board, each member of the management board independently; 2. in the case of a multi-member management board, each member of the management board is authorised independently to dispose of a right or incur obligations up to the amount of PLN 5,000,000.00 (five million zloty). Two members of the management board acting jointly are authorised to dispose of a right or incur obligations above the amount of PLN 5,000,000.00 (five million zloty). In the case of recurring or continuous performances, the value of the performance or obligation is the sum of the performances for 6 (six) months, and if the performance lasts less than 6 (six) months – for the entire duration thereof.
