Manner of representation

In the case of a one-person management board, the member of the management board is authorised independently to represent the company, make and receive all declarations on behalf of the company, including signing documents. In the case of a multi-member management board, to represent the company and make and receive declarations on behalf of the company, including signing documents: 1. in all non-property matters, each member of the management board is authorised independently; 2. in property matters concerning incurring obligations or acquiring rights with a value not exceeding PLN 100,000 (in words: one hundred thousand złoty), each member of the management board is authorised independently, whereas in property matters concerning incurring obligations or acquiring rights with a value exceeding PLN 100,000 (in words: one hundred thousand złoty), the joint action of two members of the management board acting jointly or one member of the management board jointly with a commercial proxy is required.
