Manner of representation
In the case of a one-person management board, a member of the management board independently is authorized to make declarations of will on behalf of the company and to represent it; in the case of a multi-member management board, each member of the management board independently in matters in which the value of the obligation, disposal of a right or performance does not exceed PLN 300,000.00 (three hundred thousand złoty) net in respect of one legal transaction or related transactions; whereas for transactions exceeding PLN 300,000.00 (three hundred thousand złoty) net, the joint action of two members of the management board or one member of the management board jointly with a commercial proxy is required.
