Manner of representation

In the case of a one-person management board, the company is represented by its sole member of the management board. In the case of a multi-member management board, the company is represented: 1. with respect to acts undertaken in property matters with a value of up to PLN 500,000.00 (five hundred thousand złoty), by each member of the management board acting independently; 2. with respect to acts undertaken in property matters with a value exceeding PLN 500,000.00 (five hundred thousand złoty) or in non-property matters, by two members of the management board acting jointly or by one member of the management board acting with a commercial proxy. In the case of acts whose value is expressed in foreign currencies, the value of the acts is determined using the average exchange rate of the relevant foreign currency against the Polish złoty announced by the National Bank of Poland on the last day on which such rate was published before the act was undertaken.
