Manner of representation

Declarations of will on behalf of the foundation, including in property matters, may be made by: A. the President of the Management Board independently. B. In the case of a management board consisting of 3 to 5 persons – by two members of the management board acting jointly or by the President of the Management Board acting independently. C. The management board may grant powers of attorney to perform specific legal acts or to represent the foundation within a specified scope. Each member of the management board is authorised independently to incur property liabilities up to and including an amount equivalent, on the date the liability is incurred, to 10,000 złoty. A decision by the management board leading to the incurring of a liability or disposal of the foundation’s assets with a value exceeding 10,000 złoty requires the written consent of the founder.
