Manner of representation
The management board of the company consists of one to three persons (the President and members of the management board). Members of the management board are appointed and dismissed by a resolution of the partners' meeting for an indefinite period. The mandates of members of the management board expire only as a result of death, resignation, dismissal from the management board, loss of the right to perform the function, or in other cases provided for by law. Article 202 §1 of the Commercial Companies Code shall not apply. In the case of a one-person management board, the President of the Management Board is authorised to make declarations of will and sign on behalf of the company independently. In the case of a multi-member management board, each member of the management board is authorised to make declarations of will and sign on behalf of the company independently.
