Manner of representation
In the case of a one-person management board, the member of the management board is authorised to act independently. In the case of a multi-member management board, each member of the management board may represent the company independently in transactions involving the disposal of assets up to a value of PLN 50,000.00, whereas incurring obligations on behalf of the company requires the joint action of two members of the management board or a member of the management board jointly with a commercial proxy.
