In the case of a one-person management board, declarations of will on behalf of the company (representation) are made by the member of the management board. If the company’s management board consists of two or more members, joint action by two members of the management board or by one member of the management board jointly with a commercial proxy is required to make declarations of will on behalf of the company (representation). Irrespective of the above, the President of the Management Board is authorised to act independently exclusively within the scope of ordinary management, comprising: one-off liabilities up to PLN 10,000 net; entering into and performing individual civil-law contracts with subcontractors, each for an amount not exceeding PLN 40,000 net; accepting individual orders, each for an amount not exceeding PLN 100,000 net; granting rebates, discounts, reductions and other similar mechanisms to the company’s customers in an amount not exceeding 20% of the base amount.
