Manner of representation

The following are authorised to submit declarations of will on behalf of the foundation: 1. the President independently – in property matters concerning transactions with a value not exceeding PLN 5,000; 2. two members of the management board acting jointly – in property matters concerning transactions with a value exceeding PLN 5,000; 3. the President independently – in non-property matters; 4. two members of the management board acting jointly – when taking out loans, credits, leases, long-term liabilities, granting security and sureties, and incurring extraordinary liabilities, regardless of their value. In matters within the scope of labour law, the foundation is represented by the President or a person authorised by resolution of the management board, subject to the provisions concerning transactions between the foundation and a member of the management board. In the case of transactions between the foundation and a member of the management board, the foundation is represented by an attorney-in-fact appointed by resolution of the foundation council or by a member of the foundation council designated by resolution of the council. Until the foundation council is appointed, the foundation is represented by an attorney-in-fact appointed by resolution of the founders or by a founder designated by resolution of the founders.
