Manner of representation
The President of the Management Board, Dariusz Kaszuba, is authorised to independently represent the company and to independently make declarations of will and incur obligations on behalf of the company, without any limitation as to amount or subject matter. A member of the management board other than the President of the Management Board is not authorised to independently represent the company. For making declarations of will and incurring obligations on behalf of the company by such a member of the management board, joint action with the President of the Management Board is required in every case, irrespective of the value and subject matter of the transaction. In the case of a one-person management board, the sole member of the management board, who is concurrently the President of the Management Board, represents the company independently.
