Manner of representation
In the case of a one-person management board, the President of the Management Board acting independently is authorised to represent the company externally, make declarations and sign contracts on behalf of the company, irrespective of the value of the transaction, subject to transactions involving the disposal of a right or the assumption of an obligation to provide a performance exceeding the amount of PLN 100,000.00 (one hundred thousand złoty), for which a resolution of the partners’ meeting is required. If the management board is multi-member, joint action by two members of the management board or by one member of the management board jointly with a commercial proxy is required to make declarations on behalf of the company.
